PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THIS WEBSITE. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Reja Technologies Limited and its subsidiaries and affiliates (collectively, "Reja," "we," "us," or "our"). These Terms govern your access to and use of the Reja platform website, including all associated subdomains, product pages, landing pages, demo request forms, contact forms, and any related pre-contractual digital interactions (collectively, the "Website").

1. Acceptance of Terms

By accessing, browsing, or using this Website in any manner, you represent and warrant that you are at least eighteen (18) years of age and possess the legal authority to enter into this agreement. If you are accessing this Website on behalf of a business entity, you represent and warrant that you have the authority to bind such entity to these Terms. Your continued use of the Website following the posting of any changes to these Terms constitutes acceptance of those changes. If you do not agree to these Terms in their entirety, you must immediately discontinue all use of this Website.

2. Scope of Terms

These Terms apply to all interactions with the Website, including but not limited to: browsing content, submitting forms, requesting demonstrations, downloading materials, engaging with interactive elements, and any communications initiated through the Website. These Terms do not govern the use of Reja's commercial products or services, which are subject to separate contractual agreements. In the event of any conflict between these Terms and a separately executed written agreement between you and Reja, the executed agreement shall prevail.

3. Permitted Use

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Website strictly for the following purposes:

  • Evaluating Reja products, services, and capabilities for legitimate business purposes;
  • Submitting genuine inquiries, demo requests, and contact form submissions;
  • Accessing publicly available documentation and informational resources.

4. Prohibited Conduct

You expressly agree not to engage in any of the following activities, which constitute material violations of these Terms:

  • Attempting unauthorized access to any portion of the Website, its servers, databases, or any connected systems or networks;
  • Deploying automated systems, bots, scrapers, crawlers, or any data-mining technology to extract, collect, or harvest data from the Website without prior written consent;
  • Engaging in any activity that disrupts, degrades, or interferes with the functionality, performance, or availability of the Website or its underlying infrastructure;
  • Uploading, transmitting, or distributing malware, viruses, trojans, ransomware, or any other malicious code or harmful technology;
  • Attempting credential stuffing, brute-force attacks, session hijacking, or any form of authentication circumvention;
  • Misrepresenting your identity, authority, business affiliation, or professional capacity in any submission or communication;
  • Submitting false, misleading, fraudulent, or spam content through any form or communication channel;
  • Using the Website to conduct competitive intelligence gathering for the purpose of developing or marketing a competing product or service;

5. Demo Requests and Pre-Sales Communications

Information submitted through demo request forms, contact forms, or any other Website input mechanism must be accurate, current, and submitted by an individual authorized to represent the stated organization. By submitting such information, you consent to Reja contacting you regarding product demonstrations, proposals, pricing, implementation planning, and related commercial communications. Submission of a request does not create a service contract, impose any obligation on Reja to provide services, or guarantee product availability. Reja reserves the right to decline any request at its sole discretion without obligation to provide a reason.

6. Intellectual Property Rights

All content on this Website, including but not limited to text, graphics, logos, trademarks, service marks, trade names, brand elements, icons, images, audio clips, video clips, data compilations, software, product designs, user interface designs, documentation, and all other materials (collectively, "Content") are the exclusive property of Reja Technologies Limited or its licensors and are protected by applicable intellectual property laws, including copyright, trademark, patent, and trade secret laws. No Content may be copied, reproduced, distributed, republished, displayed, posted, transmitted, modified, or used to create derivative works without the prior express written consent of Reja. All rights not expressly granted herein are reserved.

7. Trademarks

"Reja," the Reja logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Reja Technologies Limited or its affiliates. You must not use such marks without the prior written permission of Reja. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

8. Confidentiality During Evaluation

During the course of any pre-sales evaluation, demonstration, or commercial discussion, either party may disclose non-public business, technical, financial, or operational information ("Confidential Information"). The receiving party shall: (a) hold all Confidential Information in strict confidence; (b) not disclose it to any third party without prior written consent; (c) use it solely for the purpose of evaluating a potential business relationship; and (d) protect it with at least the same degree of care used to protect its own confidential information, but in no event less than reasonable care. These obligations survive any termination of your use of the Website for a period of three (3) years.

9. Security and Responsible Disclosure

If you discover a security vulnerability, defect, or weakness in the Website or any related system, you must: (a) report it promptly and privately to Reja's designated security contact; (b) refrain from exploiting, publicizing, or disclosing the vulnerability to any third party; (c) not access, modify, or delete any data that does not belong to you; and (d) cease all testing upon discovery. Reja reserves the right to immediately suspend access, block IP ranges, implement rate limiting, and take any other protective measures it deems necessary to preserve platform integrity and security, without prior notice.

10. Data Handling and Privacy

Reja processes personal data submitted through the Website for lead management, sales operations, customer support, security, and permitted commercial communications. Details of the data, purposes, lawful bases, recipients, retention, transfers, and individual rights are set out in the Privacy Policy.

  • Contact and identity data: full name, email address, phone number, job title, and company name submitted through forms;
  • Inquiry data: demo request details, messages, questions, and any information voluntarily provided in form submissions;
  • Technical and device data: IP address, browser type and version, operating system, device type, screen resolution, and language preferences;
  • Usage data: pages visited, time spent on pages, referral source, click patterns, and navigation paths;
  • Cookie and tracking data: session identifiers, analytics cookies, marketing pixels, and similar tracking technologies (see Section 11).

Data collection is limited to information voluntarily provided by the User and data automatically collected through standard web technologies. You must not submit sensitive personal data (including health information, financial account numbers, government identification numbers, biometric data, or information relating to minors) through public Website forms unless specifically requested by Reja in a secure context. Processing is governed by the Privacy Policy and applicable data protection law. Website use is not treated as blanket consent: Reja relies on the lawful basis applicable to each purpose and asks for consent where consent is required.

11. Cookies and Tracking Technologies

The Website may use cookies, web beacons, pixels, and similar technologies. Strictly necessary technologies may operate to provide and secure the Website. Where applicable law requires consent, analytics, preference, and marketing technologies are not enabled until the visitor makes an affirmative choice. Reja has no control over, and assumes no responsibility for, the content, privacy policies, data processing practices, or security posture of any third-party sites or services. The inclusion of any link does not imply endorsement, sponsorship, or recommendation by Reja. You access third-party sites entirely at your own risk.

13. Disclaimer of Warranties

THE WEBSITE AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES PROVIDED ON OR THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REJA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. REJA DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. PRODUCT BEHAVIOR, FEATURE AVAILABILITY, SERVICE LEVEL COMMITMENTS, AND SUPPORT OBLIGATIONS ARE GOVERNED EXCLUSIVELY BY SIGNED COMMERCIAL AGREEMENTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REJA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE WEBSITE, EVEN IF REJA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL REJA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE WEBSITE EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD $100.00) OR ITS EQUIVALENT IN THE LOCAL CURRENCY OF THE APPLICABLE JURISDICTION AT THE PREVAILING EXCHANGE RATE.

15. Indemnification

You agree to defend, indemnify, and hold harmless Reja, its directors, officers, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website, including but not limited to any content you submit, any unauthorized use of Website content, or any activity conducted through your connection to the Website.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions. Where the User accesses the Website from a jurisdiction in which Reja operates a local subsidiary or registered entity, the laws of that jurisdiction may apply to the extent required by mandatory local legislation, including but not limited to consumer protection and data privacy laws. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts located in the jurisdiction where the applicable Reja contracting entity maintains its registered office, or at Reja's election, the courts of Nairobi, Kenya. Notwithstanding the foregoing, Reja retains the right to seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or Confidential Information.

17. Multi-Jurisdiction Operations

Reja operates across multiple African jurisdictions. Users acknowledge that:

  • The Website may be accessed from and serve users in multiple countries across Africa, and the applicable Reja contracting entity may vary by territory;
  • Where local laws in a User's jurisdiction impose mandatory requirements that cannot be excluded by contract (including consumer protection rights, data localization mandates, and privacy obligations), those mandatory requirements shall apply to the extent of the conflict with these Terms;
  • Reja applies the data protection law that governs the relevant processing. Country-specific registration, localization, representative, transfer, or employment-monitoring requirements must be confirmed during contracting and recorded in the Order Form or DPA rather than assumed from Website availability;
  • Where required by local law, Reja may engage local representatives, appoint data protection officers, or establish local data processing arrangements to comply with in-country regulatory requirements;
  • Nothing in these Terms shall be construed to limit any rights afforded to Users under mandatory provisions of their local jurisdiction's law.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity of the remaining provisions, which shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

19. Waiver

No failure or delay by Reja in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or remedy preclude any other or further exercise of that or any other right, power, or remedy. The rights and remedies provided herein are cumulative and not exclusive of any rights or remedies provided by law.

20. Entire Agreement

These Terms, together with any documents expressly referenced herein, constitute the entire agreement between you and Reja with respect to your use of the Website and supersede all prior or contemporaneous oral or written communications, proposals, and representations with respect to such subject matter.

21. Modifications to Terms

Reja may update these Terms to reflect legal, security, or operational changes. The "Last Updated" and version fields identify the applicable edition. Material changes take effect on the stated effective date and will be communicated through reasonable channels where required. A change does not retrospectively alter rights or obligations that arose under an earlier version, and mandatory notice or consent requirements continue to apply.
